Terms and Conditions:

1.

The Licensee shall pay to the Licensor the license Fee payable in advance on the first day of commencing date.

2.

The Licensee shall pay to the Licensor the deposit upon signing of this Agreement. The deposit amount cannot be converted to License Fee. If there shall be no outstanding breach of the terms and conditions of this License at its expiry, the Licensor shall repay to the Licensee the deposit without interest within 30 days after the Licensee shall have vacated the MSU (Mini Storage Unit) in accordance with this License. Licensee should collect and honor the deposit cheque within six months; otherwise the deposit will be written off as compensation of administration loss.

3.

Licensee shall purchase smartcard (HKD60) for branch entry. The smartcard is non-refundable.

4.

Upon the execution of this License Agreement, the Licensee confirms that the Licensee has inspected the MSU and felt satisfied by its area, size, suitability and conditions of all aspects (including but not limited to the level of safety and security under management). The Licensee shall be responsible for the conditions of the goods or items stored in the MSU, and taken out fire insurance, water damage insurance, theft insurance and other forms of insurance as required. In case of any loss, damage, missing or destruction, the Licensee shall not seek any form of compensation from the Licensor or hold the Licensor liable. All pertinent risks shall be borne by the Licensee only.

5.

A Licensee intending to terminate this License Agreement during the License Period shall notify the Licensor at least 14 days in advance by written notice or by phone, or indemnify the Licensor with a sum equivalent to 14 day’s License Fee in lieu of notice. There will be no-refund of license fee in case of early termination by Licensee. On the day of termination, the Licensee shall return to the Licensor the MSU in the same condition upon the commencement of the License Period with vacant possession. If Licensee cannot clear all the stuff in the MSU, the expenses of clearing the MSU will be charged from the deposit by Licensor.

6.

(a) The Licensee must pay the license fee on time. If the license fee is overdue for 30 days, this will be identified as breach of the License Agreement. The Licensor shall be entitled to terminate this License Agreement immediately and re-enter the MSU at any time (without prejudice to the Licensor’s other rights and remedies). All stuff in the MSU will be treated as waste disposal (include but not limited to moved out of the MSU, disposal, destruction or sold) without any notice. The Licensee shall make a reasonable compensation to the Licensor for the loss and expense incurred by the Licensor in regard to the violation of this Agreement by the Licensee.
(b) Within the 5 days from due date, Licensee must send a copy of bank receipt to licensor for payment confirmation.
(c) If the license fee is overdue for 5 days, reasonable Late Administration fee will be charged to Licensee.

(e) All bank charges will be handled by Licensee.

7.

This License Agreement neither forms a lease agreement nor constitutes a landlord-tenant relationship.

8.

The Mini Storage Unit (MSU) concerned shall be used only for storing [household items /office documents]. The Licensee confirms that the MSU is licensed to the use of the Licensee in “as is” condition. The Licensor makes no guarantee for the suitability of the MSU for the aforesaid purposes or its compliance with relevant laws, including but not limited to orders, regulations, stipulations and by-laws promulgated by the government or other institutions.

9.

During the License Period, the Licensee agrees to abide by the stipulations set out below:
(a) To pay the License Fee, all miscellaneous fees and other expenses (if any) on time. The Licensor may employ lawyers to recover any overdue amount and all relevant expenses incurred shall be borne by the Licensee.
(b) Not to store any dangerous & illegal product, including:
I. animals or any other biological;
II. food or perishable goods;
III. illegal goods and immoral of illicit goods;
IV. toxic waste, corrosive, asbestos and other dangerous articles;
V. chemicals, compressed gas, radiative products or biological agents;
VI. flammable liquids or regulated by law harmful and dangerous goods;
VII. explosion or combustible goods and liquids such as painting, petrol, oil, gunpowder, nitrating, kerosene, fuel oil and washing solvent;
VIII. Goods and materials with odour or noise;
(c) To execute and observe the laws, government leases, deed of mutual covenant, stipulations or regulations promulgated by government departments or the management office of the building or by the Licensor or the Landlord in regard to the license of the MSU and the use of public facilities.
(d) Not to cause any nuisance to other tenants, landlords, licensees and so on, and not to violate the laws, arising from the license of the MSU by the Licensee.
(e) Not to conduct any alteration works, including but not limited to altering or removing existing partition and structure, and not to install any facilities in the MSU, unless with prior approval of the Licensor in writing.
(f) That the Licensee shall be responsible for the cleaning, repair and maintenance inside the MSU at its own expense.
(g) Not to cause any damage or destruction to the structure of the MSU. The Licensee shall indemnify the Licensor for any damage and/or destruction caused.
(h) That the Licensee shall be liable for all loss and damage caused directly or indirectly to others due to the licensed use of the MSU by the Licensee or its visitors, workers or agents. The Licensee shall indemnify the Licensor for any claims made against the Licensor by a third party arising from the aforesaid events.
(i) Not to violate any government leases, the deed of mutual covenant and stipulations governing the management of the building. The Licensee shall indemnify the Licensor for any claims, costs and expenses arising from such violation.
(j) That the Licensee shall not place any object outside the area of the MSU without the written approval of the Licensor.
(k) Where there is any loss suffered by the Licensee or any property loss arising from the breakdown of facilities or accidents occurred during the License Period, the Licensee agrees that the Licensor shall not be required to indemnify the Licensee in any form nor be held liable for any such loss.
(l) That the Licensor is entitled to change the name of the above address at any time without compensation to the Licensee.

10.

Storage dimension may cause deviation by storage hoarding or ceiling height, please make the storage object as the standard.

11.

The branch opening hour will be vary from time to time depends on the building management arrangement.

12.

The Licensor expressly reserves the following rights:
(a) To enter the MSU with its agents and/or technicians for inspection purposes.
(b) To amend such matters as the opening hours, general management, security and so on.

13.

The Licensor is entitled to enter the MSU with its agents and/or technicians immediately for inspection if the MSU is found to be the source of strong odour or strange noise, or if an inspection request is made by the Fire Services Department, Police Force, Customs and Excise Department, power company or a relevant government department.

14.

If the Licensee violates any article in this License Agreement, the Licensor shall be entitled to terminate this License Agreement immediately. The deposit paid by the Licensee concerned will be confiscated without refund. The Licensee shall also reinstate the MSU in accordance with the articles stipulated in this License Agreement and return immediately to the Licensor the MSU in the same condition upon the commencement of the License Period with vacant possession. The Licensee shall make a reasonable compensation to the Licensor for the loss and expense incurred by the Licensor in regard to the violation of this Agreement and/or delay of return with vacant possession by the Licensee.

15.

Upon the expiration of this License Agreement, the Licensor may adjust the License Fee of the MSU at its discretion. If the Licensee agrees to continue the payment in a timely manner, this License Agreement (including the articles set out herein) shall be deemed by both parties to remain valid until the Licensee serves a written notice or telephone notice on the Licensor for termination.

16.

Upon the expiration or termination of this License Agreement, the Licensee shall return the MSU with vacant possession in accordance with the provisions of this License Agreement. In case of any damage to the MSU, the Licensor is entitled to deduct a relevant portion from the Deposit as compensation.

17.

The Licensor may in any circumstances, including such circumstances as provided in this License Agreement(except clause 6(a)), terminate this License Agreement by serving a written notice on the Licensee 30 days in advance. Under such circumstances, the Licensee shall return to the Licensor the MSU in the same condition upon the commencement of the License Period with vacant possession. The aforesaid non-interest bearing Deposit and un-used license fee shall be returned to the Licensee by the Licensor within 30 days after the termination of this License Agreement.

18.

The Licensee shall not store precious/valuable items in the MSU and shall exercise caution in the access to and usage of the MSU. In case of accidents (including but not limited to fire, flood, theft and body injury), the Licensee or its visitors, workers or agents shall be responsible on its own account. The Licensee hereby agrees that the Licensor shall not be required to make any form of compensation or bear any legal liability for the aforesaid.

19.

All correspondences delivered to the latest correspondence address of the Licensee by ordinary post shall be deemed to have been served on the next day of delivery.

20.

For avoidance of doubts, irregularities or negligence of any visitors, workers, agents and/or employees of the Licensee shall be deemed as the same of the Licensee itself.

21.

Time is of the Essence.

22.

This Agreement shall be governed by and interpreted in accordance with the Laws of the Hong Kong Special Administrative Region. Both parties to this Agreement hereby accept the courts of the Hong Kong Special Administrative Region as the trial courts.

***If there is any inconsistency or ambiguity between the English version and the Chinese version, the Chinese version shall prevail.
